Introduction

• DotSimple, also known as DotSimple.io, is a product of .simple Marketing GmbH & Co KG, based in Vienna, Austria. Personal data is processed as part of the activity. Further information on this is provided in these terms and conditions and in the privacy policy.
• These terms and conditions govern participation in the DotSimple Partners program. By registering and using the program, you agree to these terms and conditions.
• DotSimple provides affiliate partners with individual referral links through which DotSimple products can be marketed. Successful referrals are remunerated in accordance with the terms and conditions.

Eligibility & account registration

• Only natural and legal persons who have received express authorization from DotSimple are entitled to participate.
• Once approved, a user account is created and an individual referral link is provided, which is used to track affiliate activity. DotSimple reserves the right to refuse registrations without giving reasons.

Duties and responsibilities of the Affiliate

• Affiliate partners act as independent contractors. This agreement does not constitute a company, joint venture, agency, franchise or employment relationship.
• Affiliate partners are not authorized to enter into obligations on behalf of DotSimple, to create offers or to represent DotSimple in any way.
• Affiliate partners undertake not to make any statements - either on their own platforms or elsewhere - that contradict the agreement or the nature of the relationship with DotSimple.
• Brand and advertising materials may only be used within the scope of the program. Any other use requires prior written consent.
• Compliance with the DotSimple Brand Guidelines is mandatory. Violations can lead to immediate termination of the partnership without notice.
• Misleading or unfair advertising measures are prohibited. Self-mediated sales via your own referral link are permitted.

Contract term and termination

• The contract is concluded for an indefinite period and can be terminated by either party at any time.
• DotSimple reserves the right to terminate the cooperation without notice, in particular in the event of serious violations of the terms and conditions or the brand guidelines. Termination is also possible if the program is misused.

Remuneration and terms of payment

• The remuneration for brokered sales and the associated payment modalities are determined on a project-specific basis and communicated separately to the affiliate partners.
• DotSimple reserves the right to adjust the commission structure and payout methods at any time.
• Commissions are generated on the basis of authorized sales via the referral link provided. Payment is made after verification and confirmation by DotSimple.
• Affiliate partners are obliged to provide correct bank or PayPal details. DotSimple is not liable for damages caused by incorrect or incomplete information.
• Payouts are made exclusively via the payment methods specified by DotSimple. Details on any minimum payout limits are regulated in the program terms and conditions.

Exclusion and limitation of liability

Liability for loss of profit, indirect damage or consequential damage is excluded unless DotSimple acts with intent or gross negligence.

Final provisions

• DotSimple reserves the right to change these conditions at any time. Changes will be communicated by e-mail and are considered accepted if the program continues to be used.
• Austrian law shall apply exclusively, to the exclusion of the conflict of law rules of private international law and the UN Convention on Contracts for the International Sale of Goods.
• Should individual provisions of these terms and conditions be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. Invalid provisions shall be replaced by valid provisions that come as close as possible to the economic purpose of the original provision.
• The court with subject-matter and local jurisdiction at the registered office of DotSimple shall have exclusive jurisdiction for disputes.
• The place of performance for all obligations arising from this agreement shall be the registered office of DotSimple.
• Amendments or additions to these terms and conditions must be made in writing. The written form requirement shall also be deemed to have been met if transmitted by e-mail without an electronic signature.
